MODERN SLAVERY ACT 2015 – PUBLIC STATEMENT JUNE 28, 2017

Introduction

Criteo is committed to maintaining the highest standards of professional business conduct and personal ethics. This statement is made pursuant to Section 54, Part 6 of the United Kingdom’s Modern Slavery Act 2015 and sets out the steps the Company (as defined below) is taking to ensure that slavery and human trafficking is not taking place in its supply chain or any part of its business (“Statement”). This Statement has been approved by the Company’s Board of Directors (“Board”).

Organisation Structure

Criteo S.A. is a company incorporated in France and it is listed on the NASDAQ stock market where its shares are traded. Criteo operates globally through a number of subsidiaries and it divides its operations into 3 main geographical areas: Europe, Middle East and Africa (EMEA); Asia Pacific (APAC); and The Americas. It has offices throughout the world and the locations can be found on Criteo’s website. Criteo S.A. conducts its business in the UK via its subsidiary Criteo Limited (a company registered in England and Wales with Company Number 06903951 with Registered Office at 10 Bloomsbury Way, London, WC1A 2SL-referred to as “Criteo” or the “Company” in this Statement).

Our Business

The Company provides performance display advertising to its customers. The employees of the Company are generally skilled and educated workers employed under standard contracts. All employees in the UK undergo an interview process before an offer of employment is made. We also obtain references from certain prospective employees, as appropriate.

Our Supply Chains

In relation to the Company’s supply chain, given the high tech nature of our business described above the Company’s supply chain is ostensibly for the provision of office and IT equipment to facilitate our work environment (offices), together with professional services from law firms, accountancy firms and other professional service organisations to help our operations in the UK. We have identified possible risks relating to cleaning services, and the Company therefore only engages large and reputable organisations to supply such cleaning services to the Company.

Steps Taken To Prevent Slavery and Human Trafficking

Criteo considers that the risk of slavery or human trafficking occurring in either its own business (given the general level of education of the workforce outlined above) or in its supply chain to be negligible. Criteo places obligations on its employees to act in accordance with all applicable laws and, given the assessed level of risk of modern slavery or human trafficking occurring either in its business or in its supply chain, Criteo does not take any specific additional steps in this area, provide any specific training to its employees or take any additional steps over and above our existing internal business procedures.

Review

The Board of the Company will review the content of this Statement and the risk profile of Criteo’s business in this area on an annual basis and, if deemed necessary, order that Criteo’s internal policies/procedures are updated as appropriate pursuant to the perceived change in level of risk. If any such changes are made, the contents of this Statement will be updated accordingly.
